AN ACT Relating to partnerships; and adding a new section to chapter 25.04 RCW.

 

BE IT ENACTED BY THE LEGISLATURE OF THE STATE OF WASHINGTON:

 

          NEW SECTION.  Sec. 1.  A new section is added to chapter 25.04 RCW to read as follows:

          A person or business shall give written notice to proposed partners at least thirty days before voting any proposed partner into a partnership.  The notice shall contain the date, time, and place of the partnership meeting during which the vote will occur.  If the proposed partner objects to becoming a partner, the objection shall be in written form, directed to the person or business or any partner, and may be given at any time before the partnership meeting.  Upon receiving an objection from a proposed partner, the person or business is prohibited from voting the proposed partner into a partnership.  The provisions of this section may be waived by the person or business and the proposed partner.  Any such waiver shall be in writing, and shall be dated and signed by all parties to the proposed partnership. All written notices described in this section shall be mailed by certified mail, return receipt requested, to the last known addresses of the parties.

          If a person or business votes in a proposed partner, without notice or over the written objection of the proposed partner, the partnership shall be automatically dissolved as between the proposed partner and the person or business, and the proposed partner shall not be liable for any of the partnership obligations.
