BACKGROUND:

 

Nonprofit corporations are required to file articles of incorporation and other documents with the Secretary of State.  A statutory fee is required for each filing.  The amount of the typical fee ranges from $5 to $20.

 

SUMMARY:

 

The statutory filing fees for nonprofit corporations are increased to a range from $10 to $30.  Documents for which the filing fee are increased include articles of incorporation, annual reports, articles of merger and consolidation, and certificates of authority for foreign corporations.

SUMMARY OF PROPOSED SENATE AMENDMENT:

 

The fee for an application for reinstatement is increased from $25 to $30.  Other technical changes are made.  The remainder of the fee increases are unchanged.

 

TESTIMONY FOR:

 

The filing fees for nonprofit corporations have not been changed for many years, and the bill is a needed update.
