BACKGROUND:

 

Current law requires each corporation operating within this state to maintain a registered office and a registered agent at a specific street address within the state.  For purposes of communicating by mail, however, the Secretary of State may permit a corporation to use a post office address.

 

It is recommended that corporations be authorized to use private mailboxes for the purpose of communicating by mail with the Secretary of State.

 

SUMMARY:

 

For purposes of communicating by mail, the Secretary of State may permit a corporation to use the address of a commercial mail receiving agency that rents private mailboxes.
