On page 23, after line 2 of the striking amendment, insert the following:

"NEW SECTION. Sec. 25. The requirements of this act do not apply to any independent entity that has a contractual agreement or commercial relationship with a party to a material change transaction, provided that the independent entity is not itself a party to the transaction or an affiliate of a party to the transaction."

Renumber the remaining sections consecutively and correct any internal references accordingly.

On page 23, at the beginning of line 9 of the striking amendment, strike "25" and insert "26"
